Terms of Service

The agreement between you and NVM Apps covering the NVM Minutes Chrome extension and this website.

1. Agreement

These Terms govern your use of the NVM Minutes Chrome extension and the website at minutes.nvmapps.com (together, the “Service”), provided by NVM Apps (“we”, “us”). By installing or using the Service you accept these Terms. If you do not accept them, do not install or use the Service.

Your use is also governed by our Privacy Policy, which forms part of these Terms, and — because the extension is distributed through the Chrome Web Store — by Google's Chrome Web Store Terms of Service.

2. What the Service does

NVM Minutes transcribes speech into text in real time inside Chrome's side panel, and lets you copy or export the result as a text or PDF file. It offers two transcription engines: Chrome's built-in speech engine, and optionally OpenAI's Whisper model accessed through Groq using an API key that you supply.

3. Licence

We grant you a personal, non-exclusive, non-transferable, revocable licence to use the Service for lawful purposes. You may not:

reverse engineer, decompile or disassemble the extension, except where that right cannot lawfully be excluded;
redistribute, resell, sublicense or republish the extension or a modified version of it;
remove or obscure any proprietary notice;
use the Service to break the law, infringe anyone's rights, or record people without a lawful basis;
attempt to disrupt or gain unauthorised access to the Service or any system it connects to.

The NVM Minutes name, logo and interface remain our property. Nothing in these Terms transfers ownership of them to you.

4. Your content

Your transcripts are yours. We claim no ownership of, and no licence to, anything you transcribe. Transcripts are stored on your own device and are never transmitted to us — we could not access them if we wanted to.

Because your transcripts exist only in your browser's local storage, you are responsible for backing them up. Export anything you need to keep. Clearing your browser data, removing the extension, resetting a session or losing your Chrome profile will delete stored transcripts permanently, and we cannot recover them.

5. Accuracy is not guaranteed

No speech recognition system is perfectly accurate, and NVM Minutes is no exception. Accents, crosstalk, background noise, technical vocabulary, poor microphones and unclear audio all cause errors. Words will occasionally be wrong, missing, or attributed to the wrong moment. Always check a transcript against the source audio before relying on it.

Do not use NVM Minutes as the sole record where accuracy is critical — including medical, legal, financial, regulatory, safety-critical, employment or evidentiary contexts. The Service is not a certified transcription service and its output is not a certified transcript.

6. Recording other people

Many jurisdictions require the consent of some or all participants before a conversation may be recorded or transcribed, and meeting platforms impose their own rules. NVM Minutes does not announce itself to other participants.

You are solely responsible for obtaining any consent required by the law that applies to you and to the other participants, and for complying with your employer's and your meeting platform's policies. You agree to indemnify us against any claim arising from your failure to do so.

7. Third-party services

Transcription depends on services we do not control, as detailed in section 4 of the Privacy Policy:

Google.The default engine uses Chrome's Web Speech API, which sends audio to Google for recognition. Its availability, accuracy, language support and terms are set by Google.
Groq. The optional Whisper engine requires your own Groq API key and sends audio to Groq. Your use of it is governed by your agreement with Groq, and you are responsible for any charges, rate limits and account obligations it involves. Keep your API key confidential; we have no access to it and cannot recover or revoke it for you.

We are not responsible for these services' availability, performance, pricing, data practices, or for any change or discontinuation of them. If a provider changes its terms or withdraws access, parts of the Service may stop working.

8. Price and availability

NVM Minutes is currently free. Any costs you incur with Groq are between you and Groq. We may change, suspend or discontinue the Service, or any part of it, at any time. We will give reasonable notice of a material change where we can, but the Service is provided without any commitment to continued availability.

9. Disclaimer of warranties

The Service is provided “as is” and “as available”, without warranty of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any transcript will be accurate or complete.

Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you. Nothing in these Terms limits any statutory consumer right you have that cannot lawfully be excluded.

10. Limitation of liability

To the maximum extent permitted by law, NVM Apps will not be liable for any indirect, incidental, special, consequential or punitive damages, nor for any loss of profits, revenue, data, transcripts, goodwill or business opportunity, arising out of or connected with your use of the Service — whether based in contract, tort, negligence or any other theory, and even if we have been advised that such damages are possible.

This expressly includes loss or corruption of transcripts, transcription errors, and any decision taken in reliance on a transcript.

Our total aggregate liability arising out of or relating to the Service will not exceed the greater of the amount you paid us for it in the preceding twelve months, or ten US dollars (US$10). Nothing here excludes liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot lawfully be excluded.

11. Indemnity

You agree to indemnify and hold harmless NVM Apps against any claim, loss, liability or expense (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, your infringement of a third party's rights, or your recording or transcription of any person without the consent that the applicable law requires.

12. Termination

You may end this agreement at any time by uninstalling the extension. We may suspend or terminate your access if you breach these Terms. Sections 4, 5, 6, 9, 10, 11 and 14 survive termination.

13. Changes to these Terms

We may update these Terms. The effective date at the top of this page will change when we do, and material changes will be summarised here. Continued use of the Service after an update constitutes acceptance of the revised Terms. If you do not accept them, uninstall the extension.

14. Governing law

These Terms are governed by the laws of India, without regard to conflict of law rules, and the courts of India will have exclusive jurisdiction over any dispute — except where the mandatory consumer protection law of your country of residence gives you the right to bring proceedings locally, which these Terms do not remove.

15. General

Entire agreement. These Terms and the Privacy Policy are the whole agreement between you and us regarding the Service.
Severability. If any provision is held unenforceable, the rest remains in force.
No waiver. Not enforcing a provision does not waive our right to enforce it later.
Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition or sale of assets.
